Terms of Service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY.

By accessing or using any Ultimum service, website, software platform, CRM, customer portal, AI tool, mobile application, consultation, or communication program, you agree to be bound by these Terms of Service ("Terms," "Agreement").

This Agreement is entered into by and between Ultimum Solutions LLC, doing business as "Ultimum," "Ultimum Group," "Ultimum Consulting," "Ultimum Dev," "Ultimum Software," "Ultimum AI," "SalesStudio," "PolicyPerfect," and "PolicyPortal" (collectively, "Ultimum," "we," "us," or "our"), and you ("Client," "you," or "your").

If you do not agree to these Terms, do not access or use any Ultimum product or service.

1. Scope of Services & Brand Definitions

Ultimum operates multiple service lines and software offerings under registered DBAs. These Terms apply to all of them, including:

  • SalesStudio – our CRM and marketing automation platform, powered by GoHighLevel and additional custom integrations.
  • PolicyPerfect – our CRM + AMS integration layer for insurance agencies, including Supabase, Trigger.dev, and custom software components.
  • PolicyPortal – our policyholder-facing portal and insure-tech software environment (present or future).
  • Ultimum Consulting – business, technical, and strategic consulting services.
  • Ultimum Dev – custom development, automations, API work, integrations, portals, and technical projects.
  • Ultimum Software – software tools, apps, and solutions built by Ultimum.
  • Ultimum AI – AI-powered workflows, automations, tools, and features using internal and third-party AI models.

Any service, product, consulting engagement, CRM account, AI feature, automation, or communication tool you access from Ultimum is governed by this Agreement.

Ultimum is NOT affiliated with HubSpot, GoHighLevel, Salesforce, Twilio, OpenAI, Meta, Google, Microsoft, Stripe, or any other named third party. All trademarks remain the property of their respective owners.

2. Authorized Use & Account Requirements

a. Single EIN Rule (Unlimited Users).

Each subscription includes unlimited internal users for one legal entity (one EIN). Multiple unrelated businesses under one account are not permitted. We may require you to create separate accounts if usage suggests multiple business operations.

b. Client Responsibility for Access.

You are responsible for all user activity on your account, including actions taken by employees, contractors, or third-party vendors.

c. Prohibited Uses.

You may not use Ultimum services for:

  • Fraud, spam, or unlawful communication
  • Violations of TCPA, CAN-SPAM, CTIA guidelines, Medicare/insurance marketing regulations, or carrier rules
  • Obscene, abusive, or harmful conduct
  • Unauthorized scraping or data collection
  • Any act that may harm Ultimum's platform or reputation

We may suspend or terminate accounts engaging in prohibited activity.

3. Third-Party Platforms, Services & Providers

Ultimum's products run on, connect to, or integrate with various third-party systems including, but not limited to:

  • GoHighLevel (CRM platform)
  • Twilio (SMS, calling, telephony)
  • Supabase (database, storage, auth)
  • Trigger.dev (automations)
  • Stripe (payments)
  • Netlify and Vercel (for web hosting and deployment)
  • AWS, Netlify, Replit, Vercel, Google Cloud, or other hosting providers
  • Marketplace apps or add-ons
  • Email verification services

You acknowledge:

  • Third-party services may change, break, increase prices, or discontinue features at any time.
  • Ultimum is not responsible for outages, downtime, errors, or failures caused by third-party platforms.
  • Your data may pass through or be stored within these systems according to their policies.
  • You agree to their respective terms of service in addition to ours.

4. Usage-Based Billing & Rebilling Terms

Many features in your CRM or software environment generate usage-based charges. These are billed at provider-based rates plus a standard markup (typically 1.5x), unless otherwise noted.

Examples of usage-based charges include:

  • SMS and MMS text message segments
  • Outbound and inbound calling (per-minute)
  • Email sends (per email)
  • Email verification
  • Workflow executions and premium automation steps
  • AI-generated content, text, images, or conversations
  • WhatsApp usage
  • Voice AI / conversational AI / review responses
  • Domain purchases or DNS changes
  • Marketplace app usage
  • Any feature that consumes tokens, credits, segments, minutes, or API calls
  • Any custom integration or portal that incurs backend costs

Usage-based fees are billed monthly and may vary depending on client activity.

Ultimum may adjust rates at any time if underlying provider rates change (e.g., Twilio, carriers, AI vendors).

5. $10 Monthly Usage Credit (Example Guide)

All accounts include a monthly $10 usage credit, applied automatically toward common communication and AI costs.

Below is a general guide for what $10 typically covers (approximate and not guaranteed):

  • Email Sends – about 10,000 emails
  • Text Messages – about 800 SMS segments
  • Outbound Calls – about 475 minutes
  • Inbound Calls – about 780 minutes
  • Email Verifications – over 270,000 checks
  • Light AI Usage – enough for basic content, small automations, and typical daily use

Heavy marketing campaigns, large email blasts, frequent calling, or high-volume AI usage may exceed the $10 credit and generate additional billing.

6. Add-Ons & Optional Features

Optional monthly add-ons may include:

  • AI Employee
  • Dedicated IP
  • WhatsApp Messaging
  • Workflow Pro (Starter, Growth, Scale)
  • Branded Client Portal App
  • Mobile App
  • WordPress Hosting
  • Listings Upgrade
  • Marketplace Apps (varies by provider)
  • PolicyPerfect or PolicyPortal add-ons
  • Hosting for custom sites or apps ($40/month standard)

Availability varies. Add-ons may be enabled, disabled, marked up, or modified at our discretion.

7. Client Responsibility for Workflows, Automations & Customizations

You are solely responsible for:

  • Contacts you import or message
  • Frequency and content of outbound campaigns
  • Custom workflows and automations
  • Any workflows you modify or create
  • Ensuring compliance with relevant regulations
  • Reviewing your usage reports and avoiding excessive charges

If your automations or campaigns generate high usage charges, you agree to pay those charges.

8. Telephony, SMS, A2P 10-DLC & Compliance Requirements

This section is required for carrier compliance and A2P 10DLC registration.

By providing your phone number and opting in, you consent to receive SMS, MMS, and voice messages from Ultimum. Consent is not a condition of purchase. Message delivery may be delayed or unreliable depending on your mobile carrier, network conditions, and technical limitations. Carriers are not liable for delayed or undelivered messages. As always, message and data rates may apply for messages sent to you from us and to us from you. Message frequency varies by program and based on your project needs. For questions about your text or data plan, contact your wireless provider.

a. Consent Required.

All recipients must have legally valid consent to receive SMS, MMS, or voice calls from Ultimum. Clients utilizing our CRM or any Ultimum-connected system must also maintain and verify proper opt-in consent for their own messaging programs. Failure to maintain valid consent may result in account suspension.

b. Opt-Out Commands.

Our systems honor standard carrier commands:

  • STOP – unsubscribe
  • HELP – information

c. Message Frequency.

Message frequency varies based on program type, service level, and client usage patterns.

d. Client Responsibility.

Clients are solely responsible for all messaging they send through Ultimum systems. This includes:

  • Collecting and maintaining proper opt-in consent
  • Message content and compliance
  • Adhering to CTIA, TCPA, CAN-SPAM, and all applicable federal/state regulations
  • Carrier rules, A2P 10DLC requirements, and truthful registration information
  • Audience segmentation, contact list management, and honoring opt-outs

e. Carrier & Provider Liability Limits.

Carriers and upstream providers (e.g., Twilio, GoHighLevel) are not responsible for delayed, failed, or undelivered messages. Ultimum does not control carrier filtering, routing decisions, or network conditions.

f. Suspension Rights.

Ultimum may suspend, restrict, or disable messaging features at any time if we detect or suspect:

  • Fraud, abuse, or spam-like patterns
  • Lack of proper opt-in consent
  • Regulatory or carrier violations
  • Excessive spam complaints or opt-outs
  • Risk of brand, number, or account flagging
  • Behavior that threatens platform integrity or carrier relationships

9. AI Features & Automated Outputs

Ultimum provides AI tools using internal and third-party AI models.

You agree and acknowledge:

  • AI may generate inaccurate or unpredictable outputs.
  • You must review and validate AI outputs before acting on them.
  • AI content is NOT legal, financial, tax, or professional advice.
  • You are responsible for the final use of AI-generated text, images, or decisions.
  • You must comply with all applicable regulations when using AI in marketing or communication.

You indemnify Ultimum for any misuse of AI tools or AI-generated content.

10. Consulting, Referrals & Professional Advice Disclaimer

Ultimum provides strategic guidance, technical consulting, AI advisory, and business recommendations. However:

  • We do NOT provide legal, financial, accounting, medical, regulatory, or tax advice.
  • Any referrals (attorneys, accountants, agencies, developers, consultants) are provided as a convenience only.
  • We are not responsible for their performance, actions, or results.
  • You are solely responsible for verifying compliance with industry-specific regulations (e.g., insurance, finance, healthcare, marketing).

11. Intellectual Property

All Ultimum software, AI tools, branding, logos, custom icons, designs, templates, automations, portals, and workflows remain the exclusive property of Ultimum Solutions LLC.

You may not copy, resell, sublicense, or reverse engineer any Ultimum intellectual property.

All third-party trademarks belong to their respective owners.

12. Payment Terms & Billing

  • Subscriptions are billed monthly unless otherwise specified.
  • Usage-based fees are billed monthly in arrears.
  • Add-ons are billed immediately upon activation.
  • Late payments may result in service suspension.
  • Refunds are not provided except where required by law.

13. Termination & Account Closure

Either party may terminate with written notice.

Upon termination:

  • Access to Services may be revoked.
  • Outstanding balances remain due.
  • You may request a data export (CSV or similar) within 30 days.
  • After 30 days, we may delete your data permanently.
  • Some obligations (payments, confidentiality, indemnity) survive termination.

14. Indemnification

You agree to indemnify, defend, and hold harmless Ultimum from all claims, damages, liabilities, penalties, regulatory actions, carrier penalties, costs, and expenses arising from:

  • Your content or campaigns
  • Your use of AI features
  • Your automations or workflows
  • Your third-party integrations or marketplace installations
  • Your violation of laws or regulations
  • Your misuse of telephony or messaging tools
  • Your negligence or misconduct

15. Limitation of Liability

To the fullest extent permitted by law:

  • Ultimum is not liable for indirect, consequential, punitive, or special damages.
  • Ultimum's total liability shall not exceed the fees paid by you in the past 3 months.
  • Ultimum is not responsible for data loss, outages, third-party failures, carrier issues, or AI errors.

16. Modifications to Terms

Ultimum may revise these Terms at any time by updating this page. Continued use constitutes acceptance of updated Terms.

17. Governing Law

These Terms are governed by the laws of the State of Iowa.

Venue for any dispute shall be in Iowa courts.
